Terms & Conditions for Professional Entertainers

ANGEL ENTERTAINMENT, LLC – INDEPENDENT PROFESSIONAL ENTERTAINER TERMS & CONDITIONS

State of Nevada • Outcall Professional Entertainment

NOTICE:
This is a legal contract. Please read it carefully. Do NOT accept these Terms unless you fully understand them. If you have questions, you may speak with an authorized representative of ANGEL ENTERTAINMENT, LLC DBA Erotic Angels of Sin City (“EROTIC ANGELS”).

By clicking Accept, you (“Entertainer”) acknowledge that you have read, understand, and agree to the following Terms. A physical signature will also be required during your onboarding photoshoot.

1. INDEPENDENT CONTRACTOR RELATIONSHIP

You and EROTIC ANGELS agree that no employment, partnership, joint venture, or agency relationship is created by these Terms.

  • You are an independent professional entertainer, operating your own business.
  • You are solely responsible for all taxes, licensing fees, permits, and any other professional costs.
  • You may accept or decline any client referral for any reason.
  • You maintain complete control over how you perform your entertainment services, including:
    • costumes/wardrobe
    • music and choreography
    • manner, duration, and style of entertainment
    • performance location
  • You are NOT covered by Workers’ Compensation, Unemployment Insurance, Health Insurance, or employment-related protections such as minimum wage or overtime laws.

Both parties expressly acknowledge that this relationship is non-employment and strictly an Independent Outcall Professional Entertainer arrangement.

2. NON-EXCLUSIVITY

This Agreement is fully non-exclusive.

EROTIC ANGELS may work with other entertainers.
You may work with other agencies, promoters, or clients at any time.

3. REFERRAL FEES

EROTIC ANGELS provides referral services only.

  • For each appointment you accept, you agree to pay the referral fee set at the time of booking.
  • EROTIC ANGELS may modify referral fees at any time.
  • You understand that referral fees are mandatory service charges to the client, not tips or gratuities.
  • You receive no wages or compensation from EROTIC ANGELS.

4. DUTIES OF EROTIC ANGELS

EROTIC ANGELS may, but is not required to:

  • Offer you referrals from clients seeking legal adult entertainment services.
  • Promote or advertise your availability at its sole discretion.

EROTIC ANGELS does not investigate client backgrounds and makes no guarantees regarding any client’s character, safety, or behavior.

5. DUTIES OF ENTERTAINER

When you accept a referral, you agree to:

  1. Maintain all legally required licenses/permits at all times.
  2. Follow all applicable federal, state, county, and city laws.
  3. Keep your own financial records for tax purposes.
  4. Notify EROTIC ANGELS immediately when you accept a referred appointment.
  5. Provide only lawful entertainment.
  6. Set your own prices independently; you alone negotiate your fees with clients.
  7. Collect your own fees directly from the client.
  8. Pay all referral fees owed to EROTIC ANGELS.
  9. Arrange for your own safety, transportation, wardrobe, and personal security.
  10. Cover all expenses incurred while performing.

6. REPRESENTATIONS & WARRANTIES

You represent and warrant that:

  • You will provide legal entertainment services only.
  • You are 18 years of age or older and have provided valid identification.
  • You are compliant with Nevada, Clark County, and Las Vegas laws.
  • You will not misrepresent EROTIC ANGELS or your relationship with it.
  • You will act professionally, respectfully, and lawfully with clients.
  • You understand the laws governing outcall entertainment.
  • You will not engage in or offer any act of prostitution, solicitation, or any lewd/lascivious act, nor imply that you do.

7. LIMITATION OF LIABILITY

You acknowledge and agree that:

  • EROTIC ANGELS is not liable for any injury, harm, or damages resulting from any referral or interaction with a client.
  • EROTIC ANGELS makes no guarantees regarding any client’s character, safety, honesty, or background.
  • You assume full responsibility for choosing whether to communicate or meet with any client.
  • You agree to indemnify and hold harmless EROTIC ANGELS from any claims, damages, attorney fees, or legal actions arising from your conduct or breach of this Agreement.
  • If you face criminal or civil charges related to your services, you alone are responsible for any legal fees or consequences.

8. ASSIGNMENT

EROTIC ANGELS may assign this Agreement.
You may not assign or transfer your rights under these Terms.

9. MANDATORY ARBITRATION & CLASS ACTION WAIVER

All disputes arising from this Agreement shall be resolved exclusively through binding arbitration in Nevada under the Federal Arbitration Act.

  • No party may bring a class, collective, or representative action.
  • Claims must be filed individually.
  • If placed into a class action, you agree to opt out immediately.
  • The arbitrator may award any relief available in court, except class relief.
  • Arbitration costs are shared equally unless otherwise required by law.
  • These provisions survive termination of the Agreement.

10. SUPERSEDING EFFECT

These Terms replace and terminate any prior agreement between you and EROTIC ANGELS.

11. CONFIDENTIALITY

You may receive confidential business information from EROTIC ANGELS, including client lists, pricing, marketing, and operational details. You agree not to disclose such information.

12. MODIFICATION

These Terms may be modified only in writing signed by both parties.
No waiver of a breach constitutes a waiver of future breaches.

13. SEVERABILITY

If any clause is found unenforceable, the remainder of the Agreement remains in effect.

14. GOVERNING LAW

These Terms are governed by the laws of the State of Nevada.

15. NATURE OF BUSINESS

You acknowledge that:

  • EROTIC ANGELS is a licensed Outcall Promoter.
  • The business involves lawful adult entertainment services.
  • You are not offended by the nature of this industry.

ACCEPTANCE

By clicking Accept, you affirm:

  • You have read this entire Agreement;
  • You understand its terms;
  • You voluntarily agree to be bound by them;
  • You have had the opportunity to ask questions;
  • You agree to sign a physical copy during your onboarding photoshoot.
